K3 Business Technology Group PLC27 December 2006 K3 BUSINESS TECHNOLOGY GROUP PLC ('K3' or 'the Company') Notice of EGM K3, the IT solutions provider, sent a circular to shareholders on 22 December2006 to convene an Extraordinary General Meeting, to be held at the offices ofK3 Information Engineering Limited, Churchgate House, 56 Oxford Street,Manchester M1 6EU at 11.00 a.m. on Wednesday 17 January 2007 in order to proposethe following resolutions: • authorise the Directors to allot the Ordinary Shares in accordance with section 80 of the Act up to a maximum nominal amount of £1,755,000 equal to approximately one third of the Company's existing issued share capital, together with Ordinary Shares that would be issued upon the exercise of options granted under the Share Option Schemes; and • disapply statutory pre-emption rights pursuant to section 95 of the Act on any allotment of Ordinary Shares for cash up to a maximum nominal amount of £730,000, equal to approximately 15% of the Company's existing issued share capital.
