CAUTIONARY ANNOUNCEMENT

PROPOSED SALE OF SIRET TEA COMPANY LIMITED ('STCL')

The Directors of Kakuzi Limited wish to advise its shareholders and the public that, in accordance with the terms of the framework agreement entered into with EPK Outgrowers Empowerment Project Company Ltd (now known as Sireet Outgrowers Empowerment and Produce Company Limited) ('SOEP') in 2007, SOEP has given notice that it will exercise the option to purchase the remaining 50.5% shareholding in STCL. Following the Competition Authority of Kenya approval on 16th August 2012, it is expected that this transaction will be completed on 31st August 2012 and thus STCL will cease to be a part of Kakuzi group from 1st September 2012.

This may have a material effect on the value of Kakuzi Limited shares and accordingly shareholders are advised to exercise caution when dealing in the shares.
