PDMR Shareholding - Grant of Share Options
Johnson Service Group PLC (the "Company") announces that it has today granted nil cost options over ordinary shares of 10 pence each in the Company under the Johnson Service Group 2018 Long-Term Incentive Plan (the "LTIP Award").
The number of options granted to each of the Executive Directors are as follows:
Peter Egan, Chief Executive Officer | 342,689 |
Yvonne Monaghan, Chief Financial Officer | 226,309 |
Performance Conditions and Vesting
In line with guidance published by the Investment Association, the setting of targets in relation to the LTIP Award will be delayed until later in the year when the Remuneration Committee (the "Committee") expects to have better visibility of the Company's long-term financial performance.
The targets for the LTIP Award will be determined as soon as practicable, and no later than six months from the grant date, at which point the Committee will give full consideration to the performance of the Group. The targets, once set, will be announced to the market and will also be disclosed in next year's Directors' Remuneration Report.
The LTIP Award will ordinarily vest three years from the date of grant and is exercisable up to ten years from the date of grant.
Further Holding Period
The LTIP Award is subject to an additional holding period of two years from the date on which the LTIP Award vests (the "Holding Period"). During the Holding Period, the LTIP Award holder may not normally dispose of any of the shares which vest except to cover any income tax or social security contributions arising on the exercise of the LTIP Award.
