Share Dealing by a Director
Just Eat plc (LSE: JE), a leading global marketplace for online food delivery, yesterday was notified that between 23 and 24 August 2017, David Buttress, a Non-executive Director of the Company, has exercised his vested shares held under the Just Eat Joint Share Ownership Plan ("JSOP"), amounting to 1,034,649 ordinary shares of £0.01 each in the Company ("Shares").
David Buttress has retained 250,000 of these Shares, increasing his direct shareholding in Just Eat to 750,000 Shares. The Shares have been transferred from joint ownership with the Employee Benefit Trust ("EBT") to the sole ownership of David Buttress for a consideration of £0.5767 per Share (being the threshold amount determined when the awards under the JSOP were made (the "Threshold")).
At the same time, David Buttress sold the remaining 784,649 JSOP shares on the open market at an average price of £6.355961 per Share.
The beneficial interest in JSOP Shares is jointly held between the relevant Director and the EBT, which was established by the Company prior to its IPO as part of its remuneration arrangements. On sale of a JSOP Share, the participant is entitled to the sale proceeds in excess of the Threshold. The EBT is entitled to the balance of the sale proceeds.
