BLOCK LISTING APPLICATION
JD Sports Fashion Plc ("Company") announces that an application will be made to the Financial Conduct Authority ("FCA") and to London Stock Exchange plc ("London Stock Exchange") on or around 20 December 2022 for a total of 25,000,000 ordinary shares of 0.05 pence each ("New Shares") to be admitted to the Official List.
These New Shares are expected to be admitted to the Official List on or around 22 December 2022.
The New Shares will be delivered to the trustee(s) of JD Sports Employee Benefit Trust ("Trust") and shall be issued, in part to satisfy a buyout award due to Regis Schultz, the Company's Chief Executive Officer, which will be the subject of a separate RNS. The remainder of the New Shares shall be held by the Trust in connection with the Company's Long-Term Incentive Plan 2022. The remainder of the New Shares will be issued from time to time on the exercise of vested options or on the vesting of conditional awards under the plan. The New Shares will rank pari passu in all respects with the Company's existing ordinary shares of 0.05p nominal value each.
As a result of this allotment, the total number of ordinary shares in issue now stands at 5,183,135,745.
