ANNUAL GENERAL MEETING 2022 - VOTING RESULTS
At the Annual General Meeting of JD Sports Fashion Plc (the "Company" or "Group") held on 22 July 2022 at the offices of Addleshaw Goddard LLP, One St. Peter's Square, Manchester, M2 3DE, all resolutions as set out in the Notice of Annual General Meeting were duly passed on a poll by the requisite majorities.
In accordance with the Listing Rule 9.6.2, a copy of all resolutions passed at the meeting (not relating to ordinary business) has been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Andrew Higginson was appointed by the Board as Chair of the Group with effect from 11 July 2022. In accordance with the Company's articles of association, Mr Higginson was not required to retire at the AGM having been appointed to the Board following the posting of the Notice of Annual General Meeting. He will first be required to retire at the Company's 2023 AGM.
The Board recognises the lower levels of support for the resolution to approve the Remuneration Report (72.3%) but notes that this resolution has received more support than at the AGM in 2021 (68.5%). It is encouraging that many of the Company's shareholders have recognised the progress that is being made in this regard. The Board is committed to maintaining the dialogue with shareholders in order to understand any ongoing concerns they may have around executive remuneration. This process will be led by the new chair of the Remuneration Committee, Suzi Williams, who will meet with shareholders over the coming months to better understand their views ahead of a full remuneration policy review. The Board is committed to ensuring a rigorous and transparent remuneration approach which is fully aligned with both our stakeholders and best practice.
