In accordance with DTR 3.1.2 ITV announces that awards made in March 2015 under the ITV Deferred Share Award Plan (the "DSA") and ITV Long-Term Incentive Plan ("LTIP") to PDMRs of the Company were released on 27 March 2018 as follows.

Buyout Arrangements
On 28 March 2018 the following PDMRs were granted awards in the form of restricted shares in line with the rules
of the DSA. These awards were made to compensate for forfeited bonuses on leaving their previous employers.

a. DSA
On 28 March 2018 certain PDMRs were granted awards over ordinary shares of the Company under the DSA. The awards were based on the achievement of performance targets under annual bonus arrangements in respect of the period from 1 January 2017 to 31 December 2017. Under the rules of the DSA the shares will not release until 28 March 2021.
b. PSP
On 28 March 2018 certain PDMRs were granted awards under the Performance Share Plan (PSP) in the form of nil-cost options over ordinary shares of the Company. The number of options that will become exercisable will be subject to the achievement of stretching performance conditions, fully aligned with the future strategic plan, over the three-year period to 31 December 2020 and will become exercisable on 28 March 2021. Any portion of the award that does not meet the performance conditions will lapse.
c. LTIP
On 28 March 2018 certain PDMRs were granted awards under the LTIP in the form of nil-cost options over ordinary shares of the Company. The number of options that will become exercisable will be subject to the achievement of stretching performance conditions, fully aligned with the future strategic plan, over the three-year period to 31 December 2020 and will vest on 28 March 2021. Any portion of the award that meets the performance conditions will be subject to a two-year holding period and will release on 28 March 2023. Any portion that does not meet the performance conditions will lapse.
d. Savings-Related Share Option Scheme
On 29 March 2018 certain PDMRs were granted options under the Scheme over ordinary shares of the Company with an exercise price of 123.82p that will not be exercisable until 1 June 2021.
