Impax Asset Management Group plc ("Impax" or the "Company")

Director Shareholding

The Company has been informed today of the following transactions by Ian Simm, Chief Executive Officer. Mr Simm has transferred 24,061 Ordinary Shares (held in his own name) into his ISA and sold a further 90 Ordinary Shares to cover the cost of the transaction.

His wife, Helen Dell, has transferred 31,164 Ordinary Shares (held in her own name) into her ISA and sold a further 89 Ordinary Shares to cover the cost of the transaction. Helen Dell has also re-invested dividends received from Ordinary Shares held in her ISA by acquiring 234 Ordinary Shares.

Following these transactions, Mr Simm's interest and that of his connected persons in Ordinary Shares is 9,486,002 Ordinary Shares representing 7.4% of the total issued share capital of the Company.
