INDIVIOR PLC (THE 'COMPANY')
NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMR') AND PERSONS CLOSELY ASSOCIATED WITH THEM
The Company announces that on August 8, 2019 it granted a Conditional Award ('Award') over Ordinary Shares of US$0.10 each in the Company ('Shares') under the Indivior Long-Term Incentive Plan ('LTIP') to the PDMR set out below:

The vesting of the Award is subject to the Rules of the LTIP and upon continued employment and the achievement of performance conditions. The performance conditions applicable to the Award are based on (1) Relative Total Shareholder Return ('TSR') to the TSR of the constituents of the FTSE 250 (excluding investment trusts) and (2) Relative TSR to the TSR constituents of the S&P1500 Pharmaceutical and Biotech Index (50% weighting for each measure).
The number of Shares under Award that will vest will depend upon the extent to which the performance conditions have been achieved. The Award is scheduled to vest on March 5, 2022 and will then be subject to a further two-year holding period before the Shares are released.
This notification is made in accordance with the requirements of the EU Market Abuse Regulation.
