Results of General Meeting & Open Offer
Inspiration Healthcare Group plc (AIM:IHC), the global medical technology company, is pleased to announce that at the General Meeting held earlier today, all resolutions proposed were duly passed by shareholders. Details of the votes cast by proxy will be published on the Company's website shortly.
Furthermore, the Open Offer, which closed for acceptances at 11.00 a.m. on 3 July 2020 was oversubscribed, with final valid applications from Qualifying Shareholders in respect of 909,757 Open Offer Shares including applications under the Excess Application Facility, representing a take-up of approximately 118.5 per cent. of the Open Offer Shares. Qualifying Shareholders have been scaled back on a pro rata basis, such that the maximum number of Open Offer Shares of 767,617 have been issued.
Accordingly, the Company will raise a total of approximately £17.0 million (before expenses) through the Placing, Subscription and Open Offer. An application has been made for the 28,921,463 new Ordinary Shares being the Placing Shares, the Subscription Shares, the Open Offer Shares and the Consideration Shares to be admitted to trading on AIM, which is expected to take place at 8.00 a.m. on 7 July 2020.
Following Admission, the Company's issued share capital will comprise 67,973,609 Ordinary Shares, of which none are held in treasury. The above figure of 67,973,609 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the voting rights of the Company under the FCA's Disclosure Guidance and Transparency Rules.
Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as defined in the circular sent to shareholders of the Company on 19 June 2020.
