Change in Directors' Interests and Substantial Shareholdings
The Company was notified on 11 January 2015 that on that day, certain of its directors and substantial shareholders (the "Shareholders") sold an aggregate of 1,125,000 ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares") at a price of 40 pence per share ("the Transaction").
Directors
The interests of Neil Campbell and Toby Foster, both directors of the Company, prior to and following the Transaction, are as follows:

As part of the Transaction, Mark Abrahams, non-executive Chairman acquired 125,000 Ordinary Shares at a price of 40 pence per share. Following the Transaction, Mark Abrahams is interested in 155,154 Ordinary Shares, representing approximately 0.51% of the issued share capital.

The interests of Simon Motley and Malcolm Oxley, both substantial shareholders in the Company, prior to and following the Transaction, are as follows:

Lock-In Arrangements
Each of the Shareholders is party to an individual lock-in agreement with the Company and WH Ireland Limited ("WHI") dated 22 May 2015, under which each Shareholder agreed not to sell any Ordinary Shares prior to 24 June 2016, subject to certain exclusions including the prior written consent of WHI. The Company has been notified that WHI has consented to the Transaction to satisfy institutional demand and to enable the Chairman to restore his interest to a level similar to that prior to the reverse takeover completed in June 2015.
