Issue of Equity

The Company announces that on 17 February 2015 it allotted and issued 3,985,927 new Ordinary Shares of 1 penny each ("Shares"). These new Shares in the Company have been issued subsequent to the Company's offer for subscription with Mobeus Income & Growth VCT plc, Mobeus Income & Growth 2 VCT plc and Mobeus Income & Growth 4 VCT plc (closed on 4 February 2015 having been fully subscribed) launched on 10 December 2014 to raise up to £39 million in aggregate and £10 million for the VCT ("the Offer").

In accordance with the allotment formula set out in the prospectus for the Offer, the new Shares were issued at prices between 109.84 and 118.15 pence per Share, depending on the adviser charge (if applicable) and the number of Shares issued (after taking roundings into account) pertaining to each application.

Application will be made for the new Shares to be admitted to the Official List of the UK Listing Authority and dealings are expected to commence on 23 February 2015.

Following this allotment, the issued share capital of the Company is 69,464,457 Ordinary Shares of 1 penny each.

The Offer has raised £9.73 million for the Company to date representing 97.3% of the target amount.
