GRAPHITE ENTERPRISE TRUST PLC

UPDATE ON COMPLIANCE WITH ALTERNATIVE INVESTMENT FUND MANAGERS DIRECTIVE (2011/61/EU)

Graphite Enterprise Trust plc ("the Company") confirms that the Company has made the arrangements necessary to ensure compliance with the Alternative Investment Fund Managers Directive ("the Directive"), effective from 22 July 2014.

The investment management agreement between Graphite Capital Management LLP ("the Manager") and the Company remains in place. The Manager has submitted its application to the Financial Conduct Authority ("the FCA") to be formally authorised as an alternative investment fund manager. While the application is being processed by the FCA, the Manager continues to operate in accordance with the Directive.

Aztec Financial Services (UK) Limited has been appointed Depositary to the Company on the terms of an agreement entered into between the Company, the Manager and the Depositary.
