Result of General Meeting
The Board of Hummingbird is pleased to announce that at the General Meeting of the Company held today at 11.00 a.m. the proposed resolutions, as set out in the Circular dated 13 June 2014, have been approved by the shareholders. As a result, 21,258,503 new ordinary shares of 1 pence each in the Company ("the Consideration Shares") will be issued and allotted to Gold Fields at an issue price of 56 pence in respect of the Company's acquisition of Gold Fields' mining and exploration interests in Mali. Application has been made for the Consideration Shares to be admitted to AIM and trading is expected to commence at 08.00 on Wednesday 2 July 2014 ("Admission") at which point the acquisition will become unconditional.
Upon Admission of the Consideration Shares, the Total Voting Rights of the Company will be 80,743,267. This figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
