Notification of Transactions by Directors/Person Discharging Managerial Responsibility ('PDMR')

17 November 2015

1. Over-allotment

On 11 November 2015, Credit Suisse Securities (Europe) Limited, as stabilising manager, exercised the over-allotment option granted by Hastings Investco Limited and certain other individual shareholders in respect of 974,794 ordinary shares in the Company (the "Over-allotment Shares") (the "Over-allotment"). The Over-allotment Shares were sold at the offer price of 170 pence per Over-allotment Share. Settlement of the Over-allotment took place on 16 November 2015.

Pursuant to the Over-allotment, the following PDMRs disposed of their beneficial interest in ordinary shares in the Company held by nominee entities at the offer price of 170 pence per share, as follows:

2. Unwind of nominee holding structure

On 17 November 2015, the Company issued a notice to each of Hastings Nominees F Limited and Hastings Nominees G Limited to transfer the legal title to the ordinary shares in the Company held by each such entity to the relevant beneficial owners of those shares (the "Nominee Structures Unwind").

Pursuant to the Nominee Structures Unwind, on 17 November 2015, the legal title to the ordinary shares in the Company that the following PDMRs had a beneficial interest in were transferred to them for nil-consideration as follows:
