Hastings Group Holdings plc (the "Company")

Director/PDMR Shareholding

In accordance with DTR 3, the Company announces it has been notified on 15 April 2016 of transfers of ordinary shares of 2 pence each in the Company ("Ordinary Shares") by Mrs Vanessa Leppard, the spouse and thereby a Connected Person of Anthony Leppard, Company Secretary of the Company, as follows:

a) on 31 March 2016, 3,500 Ordinary Shares to their son, Stuart Leppard, and 3,500 Ordinary Shares to their daughter, Mrs Katie Neech, in each case for nil consideration; and

b) on 8 April 2016, 17,500 Ordinary Shares to their son, Stuart Leppard, and 17,500 Ordinary Shares to their daughter, Mrs Katie Neech, in each case for nil consideration.

Following the transfers Mr Leppard, and his Connected Persons, have the following direct interest in Ordinary Shares, representing an approximate percentage of the issued share capital of the Company as indicated:
