Result of General Meeting
and Director Dealing
The Board of TLA is pleased to announce that at the Company's General Meeting held earlier today all of the resolutions were duly passed, including the approval of the placing of 10,869,566 new ordinary shares at 23 p per share to raise approximately £2.5 million before expenses (the "Placing").
Full details of the Placing were set out in a circular sent to shareholders on 17 October 2012. Application has been made for a total of 11,028,634 new ordinary shares to be issued pursuant to the Placing and Outstanding Fees to be admitted to trading on AIM. As a result of the effects of Hurricane Sandy, Admissions and Dealings is now expected to be on or around 9 November.
Following the settlement of certain Outstanding Fees by way of the allotment and issue of 159,068 ordinary shares Bart Campbell has voting interests in 1,179,257 ordinary shares representing 1.6 per cent. of the Company's total issued share capital.
Following the admission of the 11,028,634 ordinary shares on 5 November 2012 the Company's total issued share capital will be 74,889,624 ordinary shares of 2p each. This figure (74,889,624 ordinary shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
