Hikma Pharmaceuticals Plc06 June 2007 Hikma Pharmaceuticals PLC - Results of Annual General Meeting LONDON, 6 June 2007 - Hikma Pharmaceuticals PLC ("the Company") advises that atits Annual General Meeting of shareholders, held at the London UnderwritingCentre, that began at 11.00am today, 6 June 2007, resolutions 1 to 8 andresolution 10 contained in the Notice of Annual General Meeting were passed asordinary resolutions on a show of hands. Resolution 9 was passed as a specialresolution on a show of hands and resolution 11 was passed as an ordinaryresolution by way of a poll. The results of the poll are set out below: Resolution 11 For Against Waiver of Rule 9 of the City Code on 39,201,592 2,150,591Takeovers and Mergers Copies of the resolutions dealing with special business passed at the AnnualGeneral Meeting have been submitted to the UK Listing Authority for publicationthrough the Listing Authority's Document and Viewing Facility. The total number of proxies received for each resolution is set out below. Waiver of Rule 9 of the City Code on Takeovers and Mergers In relation to Resolution 11, at today's date, the total number of ordinaryshares held by the Concert Party, is 60,550,416, representing a combinedshareholding of 35.800% of the issued share capital of the Company. Assumingthat LTIP Awards are made in respect of the full number of shares referred to inthe circular to shareholders dated 25 April 2007, that all such grants vest infull, that all Options currently held by members of the Concert Party were to befully exercised and the resulting Ordinary Shares retained by the Concert Partymembers, the Concert Party would hold, in aggregate, interests over 62,659,557Ordinary Shares, representing 36,590 per cent. of the issued share capital ofthe Company (as enlarged by the Option Exercises by members of the Concert Partyand the issue of Ordinary Shares to members of the Concert Party pursuant to theLTIP Awards, but assuming no other issue of shares) versus 36.428 per cent. ofthe issued share capital of the Company on a similar basis, prior to the grantof such LTIP Awards. Declaration of final dividend The final dividend of 4.0 cents per share will be paid on 18 June 2007 toshareholders on the register on 18 May 2007. Shareholders who are not residentin Jordan have been given the option of receiving their dividend in PoundsSterling. The exchange rate in respect of this dividend is 1.9330 US dollars toone Pound Sterling, equal to 2.007 pence per share.
