Second Interim Dividend

HICL Infrastructure Company Limited (the "Company") is pleased to announce a second interim dividend of 3.60 pence per ordinary share for the financial year ending 31 March 2014 (the "Dividend"). The Dividend will be paid on 30 June 2014 to shareholders on the register as at the close of business on 23 May 2014.

As in previous years, the Company will also be offering shareholders a scrip dividend alternative to the Dividend. A circular and election forms will be sent to shareholders on or around 3 June, and if shareholders wish to receive all or part of the Dividend by way of new shares in the Company, election forms need to be filed by 17 June 2014. If no action is taken, the Dividend will be paid as cash, unless a previous standing election was completed.

The Company will announce its annual results for the year to 31 March 2014 on Wednesday 21 May 2014.
