HICL Infrastructure Company Limited (the "Company")

Additional Listing

Application has been made for 3,472,848 ordinary shares of 0.01p each fully paid in the Company ("Shares") to be admitted to the Official List of the FCA and to trading on the London Stock Exchange. It is expected that these Shares will be admitted on 31 December 2013.

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend in respect of the year ending 31 March 2014. Elections for a scrip dividend were received in respect of 10.96% of the ordinary shares in issue as at the record date of 22 November 2013. When issued, these Shares will rank pari passu with the existing ordinary shares.
