ResultΒ ofΒ theΒ ExtraordinaryΒ GeneralΒ Meeting
Further to the announcement yesterday of the results of the Firm Placing and Placing and Open Offer, the Board of Yell Group plc ("Yell" or the "Company") is pleased to announce that each of the Resolutions (the subject matter of such Resolutions is set out below) proposed at the Extraordinary General Meeting held today at 11.00 a.m. to approve the proposed Firm Placing and Placing and Open Offer of, in aggregate, 1,571,786,222 New Ordinary Shares and other related matters was duly passed without amendment by the required majority on a vote conducted by way of a poll.
Votes (including votes withheld) were cast for a total ofΒ 534,821,054Β ordinaryΒ shares of the Company, representingΒ 68.05Β per cent.Β of theΒ total number of votesΒ (785,959,910 ordinary shares)Β capable of being cast at the meeting.

The subject matter of the Resolutions voted on at the Extraordinary General Meeting was as follows:Β
Resolution 1Β (Special Resolution conditional on the approval of Resolutions 2 and 3)

Β toΒ amend the Company's Articles of Association by (i) deleting the amount of the Company's authorised share capital contained in paragraph 6 of the Company's Memorandum of AssociationΒ which set a limit on the number of shares in the Company that could be allottedΒ and (ii) deleting (a) Article 4 and (b) Article 16.1 of the Articles of Association; andΒ

to authorise the Directors of the Company to allotΒ up to 1,571,786,222Β ordinary sharesΒ of 1 pence each in the capital of the CompanyΒ in connection with the Capital Raising; and

to disapply statutory pre-emption rights in connection with theΒ authority toΒ allotΒ ordinary sharesΒ conferred by Resolution 1Β (ii) above;Β andΒ

to approve the issue price of 42 pence per ordinary shareΒ of 1 pence each issued pursuant to the Capital Raising, representing a discount of 12.5 per cent. (to the middle market price ofΒ theΒ existing ordinary shares of the Company at the time of announcement of the Capital Raising).

Resolution 2 (Ordinary Resolution conditional on the approval of Resolutions 1 and 3)
To approve the allotment and issue of any New Ordinary Shares, and the payment of any fee in connection with the Placing and Open Offer,Β toΒ Invesco LimitedΒ which constitutes a related party transaction pursuant to the Listing Rules.
Resolution 3 (Ordinary Resolution conditional on the approval of Resolutions 1 and 2)
To approve the allotment and issue of any New Ordinary Shares, and the payment of any fee in connection with the Placing and Open Offer,Β to Standard Life Investments Limited which constitutes a related party transaction pursuant to the Listing Rules.
Resolution 4 (Ordinary Resolution conditional on completion of the Capital Raising and on the approval of Resolution 5)
To authorise the Directors of the Company to allot sharesΒ and to grant rights to subscribe for, or to convert any security into, shares in the CompanyΒ generally and up toΒ an aggregate nominal amount of Β£7,858,931.
Resolution 5 (Special Resolution conditional on completion of the Capital Raising and on the approval of Resolution 4)
To approve the disapplication of statutory pre-emption rightsΒ in relation to equity securities allottedΒ forΒ cash pursuant to the authority conferred by Resolution 4 above provided, amongst other things, that the allotment to any person or persons of equity securities is limited to an aggregate nominal amount of Β£1,178,840.

In accordance with the UK Listing Authority's Listing Rules, two copies of the Resolutions passed at the Extraordinary General Meeting and two copies of the new Articles of Association (adopted pursuant to Resolution 1) have today been submitted to the UK Listing Authority, for publication through the UK Listing Authority's Document Viewing Facility which is situated at the Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS. TheΒ FirmΒ PlacingΒ andΒ PlacingΒ andΒ OpenΒ OfferΒ remainΒ conditionalΒ uponΒ theΒ PlacingΒ AgreementbecomingΒ unconditionalΒ inΒ allΒ respectsΒ (save for the condition relating toΒ Admission)Β andΒ uponΒ Admission.
Application has been made to the UKLA for the New Ordinary Shares to be admitted to the Official List and to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on the London Stock Exchange's main market for listed securities. It is expected that Admission will become effective on 30Β November 2009 and that dealings in the New Ordinary Shares will commence at 8:00 a.m. on 30Β November 2009.Β
The New Ordinary Shares, when issued and fully paid, will be identical to,Β and rank in full for all dividends or other distributions declared, made or paid after Admission and in all respects will rank pari passu with the Existing Ordinary Shares.Β
The New Ordinary Shares (in uncertificated form) are expected to be credited to CREST accounts on or around 8.00 a.m. on 30Β November 2009 and definitive share certificates for the New Ordinary SharesΒ (in certified form)Β are expected to be despatched to certificated shareholders byΒ no later thanΒ 7Β DecemberΒ 2009.Β
