Nature of the transaction

Grant of Awards of Shares to Directors under the Hilton Food Group Long-Term Incentive Plan 2019.

Awards will normally vest on 16 May 2025 subject to continued employment and meeting performance conditions covering the three financial years 2022-2024. The performance conditions will be based on:

i) EPS growth, carrying a 60% weighting;

ii) Relative TSR, carrying a 25% weighting, with 10% of this part of the Awards vesting for median TSR against the constituents of the FTSE 250 (excluding investment trusts) rising pro-rata to 100% of this part of the Awards vesting for upper quartile TSR; and

iii) ESG targets, carrying a 15% weighting.

As the Board continues to work through the integration of a number of recent acquisitions, and noting the current volatile environment, the EPS and ESG performance targets will be set and disclosed via RNS as soon as practicable but not later than 30 September 2022.
