Award of Options under Halfords Group Performance Share Plan 2005, dividend reinvestment.

On 3 August 2009, the Remuneration Committee of Halfords Group plc awarded shares under the Company's Performance Share Plan 2005 ("PSP").

The Committee, in making these option awards, and using its discretion, specified that subject to the rules of the PSP the Company would procure the transfer to the Awardholder such additional number of award shares as could have been acquired by the reinvestment of dividends paid on the original award shares. Such additional award shares to vest in the same proportion as the original award shares.

On 25 January 2010 the Company paid an interim dividend of 6p per share.

The maximum number of shares to be awarded in this way is to be determined on the basis that each such dividend was reinvested on the date of payment of that dividend at a price per share equal to the market value of a share on that day. Such price being calculated as £3.855
