Voting Rights and Capital

In accordance with the FSA's Disclosure and Transparency Rules, Headlam Group plc ("Headlam") notifies that as at 30 June 2008 its issued share capital comprises 85,363,743 ordinary shares of 5p each. All of the ordinary shares have equal voting rights. The company holds 2,261,818 ordinary shares in treasury. 

Therefore the total number of voting rights in Headlam is 83,101,925. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Headlam under the FSA's Disclosure and Transparency Rules.
