Conversion of Loan Notes
and
Total Voting Rights and Share Capital
Nighthawk, the US focused oil development and production company (AIM: HAWK and OTCQX: NHEGY), announces that it has received conversion notices from holders of £4.125 million nominal of its zero coupon unsecured loan notes 2015 ("Loan Notes").
As a result, application has been made for 165.0 million new ordinary shares of 0.25 pence each ("Ordinary Shares") arising on such conversion to be admitted to trading on AIM. The admission of these shares is expected to take place at 8.00 a.m. on Tuesday 30 October 2012.
Further details of the Loan Notes are set out in the shareholder circular issued by the Company dated 4 January 2012. Following this conversion, Loan Notes of £5.875 million nominal will remain in issue.
Following the issue of these new shares, Nighthawk will have 913,935,420 Ordinary Shares in issue, which will also represent the total number of voting rights in the Company. This figure should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
