Total Voting Rights

The Company announces the admission to listing on the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission") this morning of 9,677,420 new ordinary shares in the capital of the Company of 0.01 pence each (the "Placing Shares") in connection with the Company's equity placing announced on 13 June. In addition to the announcement of the Admission of the Placing Shares, 2,913 ordinary shares have been issued as part of the Company's Share Incentive Plan pursuant to the Company's block listing.

Therefore, as at 18 June 2018 The Gym Group plc's issued share capital consists of 137,955,617 ordinary shares of 0.01 pence each with one vote per share. The Company holds no ordinary shares in Treasury.

The total number of shares with voting rights in The Gym Group plc is 137,955,617.

The above figure (137,955,617) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, The Gym Group plc under the UKLA's Disclosure Guidance and Transparency Rules.
