Grainger plc ('The Company') announces that pursuant to the Grainger 2007 Long Term Incentive Plan ('LTIP') and following an assessment of the performance conditions by its Remuneration Committee, the share awards set out below, conditionally granted on 2 December 2011vested in full on 3 December 2014.

Arrangements are in hand to transfer the shares that are vesting from the Grainger plc Employee Benefits Trust ('EBT') to the Executive Directors.
The Company further announces the following sales of ordinary shares by the above directors of the Company on 5 December 2014 at a price of 199.15p.

The Company also announces that Computershare Trustees (Jersey) Limited as trustees of the EBT acquired 1,000,000 Grainger plc 5p ordinary shares at a price of 199.15p per share on 5 December 2014.
These shares are being held by the EBT to satisfy share awards arising under Grainger plc's employee shares schemes. Subsequent to the above transactions the EBT holds 4,022,827 shares in Grainger plc which represents 0.97% of the issued shares capital.
