Gleeson(M J)Group PLC22 December 2006 M J GLEESON GROUP PLC (the "Company") 22 December 2006 Total Voting Rights In conformity with the Transparency Directive's transitional provision 6, the Company notifies the market of the following: As at the date of this announcement, the Company's issued share capital consists of 51,945,757 Ordinary shares with a nominal value of 2 pence each ("Ordinary Shares". Of this total, 90,653 Ordinary shares are held on behalf of Hill Samuel Offshore Trust Company Limited in their capacity as trustees of the Company's employee share schemes. These shares do not carry voting rights. The Company does not hold any Ordinary Shares in Treasury. Therefore, the total number of Ordinary Shares with voting rights is 51,855,104. The above figure of 51,945,757 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
