Gresham Computing PLC24 October 2005 For immediate release 24 October 2005 Gresham Computing plc ("Gresham" or "the Company") The Company announces that following the exercise of SAYE share options, 16,082new ordinary shares of 5 pence each have been issued today, taking the totalnumber of outstanding ordinary shares of 5 pence each to 50,269,809. The new ordinary shares will rank pari passu in all respects with the existingissued shares. Application has been made to the UK Listing Authority to admitthe new ordinary shares. Trading in the new shares is expected to commence on28 October 2005. The SAYE option exercise described above included the following transactionnotified by a director of the Company: AJS Walton-Green, CEO, exercised 12,548 SAYE share options at a price of 21.5pence per share representing 0.02% of the outstanding share capital. As aresult, AJS Walton-Green has increased his beneficial interest in the ordinaryshares of the Company from 528,147 to 540,695, representing 1.08% of theoutstanding share capital.
