Gresham Computing PLC22 October 2007 For immediate release 22 October 2007 Gresham Computing plc ("Gresham" or "the Company") Director/PDMR Shareholding The Company announces that on 22 October 2007 the following executive directorswere granted awards over 5 pence ordinary shares in the Company ("Shares") underthe Company's Executive Option Plan 2007: Andrew Walton-Green (CEO). Number of Shares over which award granted: 750,000;comprising 500,000 basic awards and 250,000 bonus awards. Chris Errington (Finance Director). Number of Shares over which award granted:500,000; comprising 333,333 basic awards and 166,667 bonus awards. Rob Glenn (Sales and Marketing Director). Number of Shares over which awardgranted: 500,000; comprising 333,333 basic awards and 166,667 bonus awards. The awards will be first exercisable, subject to achievement of target shareprice performance conditions, as follows: Between 23 October 2010 and 22 October 2017: one third of the basic awardexercisable (target share price £2.50). Between 23 October 2011 and 22 October 2017: one third of the basic award exercisable (target share price £3.00). Between 23 October 2012 and 22 October 2017: one third of the basic award andall of the bonus award exercisable (target share price £4.00). The awards all have a strike price of £1.15 and no consideration was paid forthe grant of these awards. Following the above transactions: Mr Walton-Green is interested in 677,513 Shares, representing approximately1.282% of the issued share capital of the Company, and holds options over1,057,897 Shares.
