No Change Statement, Notice of AGM and
BBEE Annual Compliance Report

Shareholders are informed that Gemfields' Annual Report for the year ended 31 December 2021 (the "Annual Report") is now available on the Gemfields website at www.gemfieldsgroup.com. The Financial Statements contained within the Annual Report contain no modifications to Gemfields' Audited Annual Results for the year ended 31 December 2021, which were published on both SENS and RNS on 25 March 2022.
The Financial Statements have been audited by the Company's auditors, BDO LLP ("BDO"). BDO's audit opinion was not qualified and did not draw attention to any emphasis of matter. The Financial Statements, including the audit opinion, may be requested at Gemfields' registered office, PO Box 186, Royal Chambers, St. Julian's Avenue, St. Peter Port, Guernsey, GY1 4HP, at no charge, during office hours from Wednesday, 20 April 2022. Investors and/or shareholders may also request copies of the full announcement from the Company Secretary via companysecretary@gemfields.com.
Notice is hereby given that the Company's Annual General Meeting ("AGM"), will be held at 1 Cathedral Piazza, London, SW1E 5BP on Wednesday 29 June 2022, at 10:00 a.m. (British Summer Time). The Company also intends to provide a live interactive webcast facility for shareholders unable to attend the AGM in person. Further details on how to access and participate at the AGM will be made available to shareholders via a SENS and RNS announcement nearer to the date of the AGM.
Those shareholders registered on the Company's shareholder register at 11.00 a.m. (British Summer Time) on Friday, 24 June 2022, will be eligible to participate and vote at the AGM and accordingly the last day to trade to participate and vote at the AGM is Tuesday, 21 June 2022.
The Notice of AGM is expected to be posted to shareholders by no later than the end of May 2022. The Company will notify shareholders by way of a SENS and RNS announcement, to confirm: (i) the date of posting; and (ii) that the Notice of AGM, which includes an explanatory memorandum relating to the proposed resolutions to be voted on at the AGM, is available on the Gemfields website.
Shareholders are further notified that, in accordance with paragraph 16.21 (g) and Appendix 1 to Section 11 of the JSE Listings Requirements, notice is hereby given that the Company's annual compliance report in terms of section 13G(2) of the Broad-based Black Economic Empowerment Act, 2003, has been published and is available on the Gemfields website at www.gemfieldsgroup.com.
