DIRECTORS' SHAREHOLDINGS
The Company received notification on 21st November 2023 of a number of transactions in which Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W. Goodwin are interested.
The following Executive Directors, Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W. Goodwin are acting in concert with former Executive Directors Mr. J. W. Goodwin and Mr R. S. Goodwin (and deemed to be so).

Details of Notifiable Transactions
On 20th November 2023 J. M. Securities Ltd., a company in which J. W. Goodwin and R. S. Goodwin at the time of the transfer had a beneficial interest, purchased a total of 55,196 ordinary shares in the capital of the Company at the closing mid-market price of £51.15 per share from the following persons:
M. S. Goodwin 10,724 shares
S. R. Goodwin 14,824 shares
B. R. E. Goodwin 14,824 shares
T. J. W. Goodwin 14,824 shares
Upon receipt of the above shares, J. M. Securities Ltd. sold its total holding of 2,233,329 shares in the capital of the Company to its wholly owned subsidiary, J. M. Securities (No. 3) Ltd. for a consideration of £10,345,077 satisfied by the issue to J.M. Securities Ltd. of 998 new fully paid ordinary shares of £1 each in in the capital of J. M. Securities (No 3) Ltd.
The sale of shares to J. M. Securities Ltd. and J. M. Securities (No 3) Ltd. took place off market.
Whilst the overall concert party holding remains the same and continue to act in concert, as of the 21st November 2023 the control and voting ownership of JM Securities Ltd has been transferred by J. W. Goodwin and R. S. Goodwin to Mr. M. S. Goodwin, Mr. S. R. Goodwin, Mr. B. R. E. Goodwin and Mr. T. J. W. Goodwin in equal proportions.
