Goodwin, a director of the Company, is interested. The purchase on 21st June 2006 of 1,251 ordinary shares in the capital of the Company in his own name at a price of £5.53 per share. The purchase on 21st June 2006 of 1,251 ordinary shares in the capital of the Company in the name of Mr. J. W. Goodwin's wife at a price of £5.53 per share. The Company received notification on 22nd June 2006 of the following transactions in which Mr J. W. Goodwin and Mr. R. S. Goodwin, directors of the Company, are interested. John Goodwin Grandsons' Trust The distribution on 22nd June 2006 of 73,882 ordinary shares in the capital ofthe Company by the John Goodwin Grandsons' Trust, a trust in which J.W. Goodwinand R. S. Goodwin have a non-beneficial interest, to a beneficiary of the trust.Following this distribution the holding of the John Goodwin Grandsons' Trust inGoodwin PLC shares has decreased from 295,530 to 221,648. Mr. J. W. Goodwin and Mr R. S.
