Goodwin PLC10 May 2005 GOODWIN PLC ("the Company") DIRECTORS' SHAREHOLDINGS The Company received notification on 9th May 2005 of the following transactionsin which Mr. J. W. Goodwin and Mr R S Goodwin, directors of the Company, areinterested. The purchase on 6th May 2005 of 4,060 ordinary shares in the capital of theCompany by J. M. Securities (No. 3) Ltd., a company in which J. W. Goodwin andR. S. Goodwin are interested from the Goodwin family trust 'The J. W. GoodwinChildren's Trust' of which J. W. Goodwin is a trustee on trusts in favour of hischildren. The purchase on 6th May 2005 of 4,060 ordinary shares in the capital of theCompany by J. M. Securities (No. 3) Ltd., a company in which J. W. Goodwin andR. S. Goodwin are interested from R. S. Goodwin. The transactions were off-market for an arm's length consideration of £3.45 pershare. Mr. J. W. Goodwin and Mr R. S.
