On the Yield Paid on the Issuer's Equity Securities
Gazprom Neft PJSC (the Issuer) announces the yield paid on the issuer's equity securities:
Type, category (class), series, and other identification attributes of the securities: ordinary registered shares;
State registration number of the securities issue, date of state registration: 1-01-00146-A dated October 17, 1995,
identification attributes of the shares: ISIN RU0009062467.
Name of the registration authority that conducted state registration of the issue (additional issue) of the securities: Federal Securities Commission of Russia;
Governing body of the Issuer that made the decision to pay (declare) dividends on the shares of the issuer: Annual General Meeting of Shareholders of Gazprom Neft PJSC;
Date of the decision to pay dividends on the shares of the Issuer: June 10, 2016;
Date of the Minutes of the Meeting (Session) of the Issuer's governing body that made the decision to pay (declare) dividends on the shares of the Issuer: Minutes of the Annual General Meeting of Shareholders of Gazprom Neft PJSC dated June 14, 2016 No. 0101/01;
Obligation of the Issuer: payment of dividends on the shares of the Issuer for the 2015 financial year (including the dividends paid for the first six months of 2015);
Reporting period (year, quarter) for which yield is paid on the Issuer's securities: 2015;
Total amount of the dividends accrued on the shares of the Issuer, and the amount of the dividend accrued per share:
- Total amount of the dividends accrued based on the results of the 2015 financial year makes RUB 30,676,208 664.33 (thirty billion six hundred seventy six million two hundred eight thousand six hundred sixty four rubles and 33 kopecks) (including the dividends accrued based on the results of the 1st half of 2015 - RUB 28,068,493 862.88 (twenty eight billion sixty eight million four hundred ninety three thousand eight hundred sixty two rubles and 88 kopecks);
- Amount of the dividends accrued for payment makes RUB 2,607,714 801.45 (two billion six hundred seven million seven hundred fourteen thousand eight hundred one rubles and 45 kopecks);
- Amount of the dividends accrued per ordinary share makes RUB 6.47 (six rubles and 47 kopecks) (including the dividends paid for the first six months of 2015 in the amount of RUB 5.92 (five rubles and 92 kopecks) per ordinary share).
Form of payment of yield on the Issuer's securities: cash assets.
Maturity date of the obligation to pay yield on the Issuer's securities: to the nominal holders and trustees being professional securities market participants, who are registered in the register of shareholders - on or before July 11, 2016, and to other persons registered in the register of shareholders - on or before August 01, 2016.
In accordance with Clause 3 of Article 8.7 of the Federal Law dated April 22, 1996 No. 39-FZ "On the Securities Market", the Depositary shall transfer payments on the securities by transferring the funds to the bank accounts specified in the Depositary Agreement to its depositors, who are the nominal holders and trustees being professional securities market participants - on or before the following business day upon receipt of the same, and payments on the securities to other depositors - no later than seven business days upon receipt of the same;
Total amount of the dividends paid on the shares of the Issuer: RUB 2,607,256,364.90 (two billion six hundred seven million two hundred fifty six thousand three hundred sixty four rubles and 90 kopecks) (99.98% of the total amount of accrued dividends);
Reason for the Issuer's failure to discharge the relevant obligation to the holders of its equity securities, and for the monetary or other obligation that can be expressed in monetary terms - also the defaulted amount of such obligation in monetary terms: obligation to pay dividends on the shares of the Issuer is discharged, except for the cases where the Issuer is not liable in accordance with Clause 5 of Article 44 of the Federal Law "On Joint Stock Companies": dividends are not paid to the persons registered in the register of shareholders of the Issuer who failed to promptly inform the Issuer's administrator of the register of shareholders of the changes in their details in the amount of RUB 458,436.55 (four hundred fifty eight thousand four hundred thirty six rubles and 55 kopecks), which makes 0.02%.
