Awards under Performance Share Plan

The following executive directors and other persons discharging managerial responsibility ("PDMRs") informed the Company of the grant on the 29 November 2010 of conditional awards under the Company's Performance Share Plan ("PSP") entitling them to acquire the numbers of ordinary shares of £0.10 each in the Company ("Shares") set out below at nil cost. This notification is made in accordance with DTR 3.1.4.

Depending on the extent to which performance conditions (relating to the Company's earnings per share growth) are satisfied, and subject to continuing employment with the Filtronic Group.

Performance Share Plan Awards - November 2010:

* Preeti Mardia and Hemant Mardia are married, and are therefore also "connected persons" for the purposes of each other's awards.
