Block Listing Application

Block listing application

In connection with the acquisition of The Stars Group Inc. and the re-admission of the entire issued share capital of Flutter on 5 May 2020, the Flutter block listing approvals in place before this date have been disapplied. Consequently, a block listing application has been made, in aggregate, for 1,000,000 ordinary shares of €0.09 each in the Company, pursuant to the following share schemes:

· Paddy Power Sharesave Scheme;

· Betfair Group Plc 2009 Long Term Incentive Plan;

· Betfair Group Plc Deferred Share Incentive Plan;

· Flutter Entertainment plc 2015 Deferred Share Incentive Plan;

· Flutter Entertainment plc 2015 Medium Term Incentive Plan;

· Flutter Entertainment plc 2015 Long Term Incentive Plan;

· Flutter Entertainment plc Sharesave Scheme; and

· Flutter Entertainment plc Restricted Share Plan,

to be admitted to: (i) listing on the premium listing segment of the Official List of the Financial Conduct Authority and the Official List of Euronext Dublin; and (ii) trading on the London Stock Exchange's Main Market for listed securities and the Euronext Dublin Market.

Admission is expected to become effective at 8.00 a.m. on 29 May 2020.

When issued, all of the above shares will be fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company.
