PDMR Shareholding
FDM Group (Holdings) Plc ("FDM" or the "Company"), a global professional services provider with a focus on Information Technology, announces that on 11 August 2022 Michael McLaren (Executive Director) and Jonathan Young (Senior Manager) acquired ordinary shares of £0.01 each in the capital of the Company ("Shares"), as follows:

The Shares were purchased from FDM's Employee Benefit Trust under FDM's all employee "Buy-As-You-Earn Plan" pursuant to applications made in May 2022 (in the case of Mr McLaren) and December 2020 (in the case of Mr Young). The BAYE enables employees to acquire up to £1,000 of Shares each month from their post-tax salary ("Purchased Shares"). If Purchased Shares are retained for a set period, participants are entitled to receive "Matching Shares". The total number of Matching Shares which will be awarded is equal to 100% of the Purchased Shares acquired in respect of a BAYE plan year. The Matching Share awards will vest (subject to continued employment) in three instalments following the announcement of the Company's results for the following years:
· 33.33% in the first calendar year following the year in respect of which the purchase was made;
· 33.33% in the third calendar year following the year in respect of which the purchase was made; and
· 33.33% in the fifth calendar year following the year in respect of which the purchase was made.
Mr McLaren and Mr Young have applied to acquire Purchased Shares for every month that they participate in the BAYE.
