Directorate Changes

Further to the Company's recent announcement regarding proposed changes to the Board of Directors, Fulcrum announces that Jonathan Turner and Jeremy Brade have been appointed as Non-Executive Directors of the Company with immediate effect.

Jeremy Brade is a partner at Harwood and has been investing in UK smaller companies for 19 years. He has deep experience of serving on the boards of private and listed companies and developing their strategies to enhance shareholder value for all shareholders. His career has spanned both public and private sectors.

Jonathan Turner is the owner and Chief Executive of The Bayford Group comprising a diverse number of entrepreneurial companies predominately in the energy and property sectors. With over 30 years' experience in downstream energy, Jonathan has led a variety of start-up businesses, management buy outs, mergers, acquisitions and disposals. The global move away from fossil fuels has led Jonathan into the supply of electricity, gas and electric vehicle charge points in the UK and Netherlands. Jonathan is a substantial shareholder in Fulcrum.

Further information is disclosed below pursuant to Schedule Two, paragraph (g) of the AIM Rules:

Jeremy James Brade, aged 59, is currently or has previously been a director of the following companies or partnerships within the past five years.

Harwood Capital LLP and certain of its clients are currently interested 24,515,000 Ordinary Shares in Fulcrum. Jeremy is currently a member and partner of Harwood Capital LLP.

Jeremy was previously a director of United Industries Public Limited Company which went into administration on 5 April 2006, some five months after his resignation as a director on 28 October 2005. 

Jeremy was previously a director of PNC Telecom PLC from 3 February 2003 to 23 June 2003. The company went into administration on 23 June 2003 and the administration order was discharged (and PNC Telecom PLC resumed business) on 15 June 2004.

Jeremy was a director of Valiant Sports Holdings Limited which was wound up voluntarily by its creditors, with an estimated deficiency to creditors of £2.65 million, and was dissolved on 5 September 2014.

Jonathan Charles Deacon Turner, aged 54, is currently or has previously been a director or partner of the following companies or partnerships within the past five years.

Jonathan holds a total beneficial interest in 30,127,525 Ordinary Shares in the Company, of which 18,835,000 are held by Bayford & Co Ltd (an entity controlled by Jonathan), 10,233,475 are held in his own name, 596,198 shares are held by his wife and 462,852 shares are held via his personal pension.
