Funding Circle Holdings plc

Block Listing Application

As disclosed in the Prospectus, Funding Circle Holdings plc ("Funding Circle") hereby notifies the market that application has been made to the Financial Conduct Authority and the London Stock Exchange for a total of 11,953,368 ordinary shares of 0.1 pence each ("shares") which may be issued in connection with the exercise of vested options in the six month period following Admission to be admitted to the Official List.

These shares are expected to be admitted to the Official List and to be available for trading on the London Stock Exchange on 3 October 2018.

These shares are being reserved under a block listing and may be issued following exercises which may be made on or following Admission in connection with the following share option plans and other arrangements: (i) the EMI Scheme (11,674,415 shares), (ii) the Endurance Lending Network Share Option Scheme (33,300 shares), (iii) option agreements in place with certain current and former contractors and advisors of the Funding Circle Group (212,104 shares), and (iv) replacement option agreements entered into as part of the Zencap Acquisition (33,549 shares).

When issued, these shares will rank pari passu with the existing ordinary shares.
