Share Buyback Programme and Transaction in Own Shares

Empresaria, the international specialist staffing group, is pleased to announce the initiation of a share buyback programme to purchase up to £25,000 per month of the Company's ordinary shares of £0.05 each ("Ordinary Shares"), commencing on 17 June 2020 (the "Programme"). Details of any purchases made under the Programme will be provided via RNS announcements and published on the Company's website.

All of the Ordinary Shares purchased under the Programme will be transferred to the Empresaria Employee Benefit Trust. The Company intends that Ordinary Shares transferred to the Empresaria Employee Benefit Trust will be used to satisfy the exercise of options vested under the Company's Long Term Incentive Plan.

Further to this, on 17 June 2020, the Company purchased 10,000 Ordinary Shares at a price of £0.36 per Ordinary Share.

Following the above purchase, the Company has 49,019,132 Ordinary Shares in issue, of which 10,000 are held by the Company as treasury shares until they are transferred to the Empresaria Employee Benefit Trust. Therefore, the total number of voting rights in the Company is 49,009,132.

This figure of 49,009,132 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
