THE PERSON IN PARA. 3. ABOVE IS A PARTICIPANT IN THE ELEMENTIS US 401K PENSION PLAN AND PREVIOUSLY (IN 2011) INVESTED PENSION CONTRIBUTIONS INTO THE ELEMENTIS UNITISED STOCK FUND (“EUSF”) AND BEEN ALLOCATED SHARES IN ELEMENTIS PLC BASED ON THE NUMBER OF UNITS HE HELD IN THE EUSF, WHICH CONSISTS OF SHARES IN ELEMENTIS PLC POOLED WITH A MONEY MARKET MUTUAL FUND. THE INCREASE IN HIS HOLDING BEING REPORTED NOW FOLLOWS THE REINVESTMENT OF DIVIDENDS BY THE EUSF INTO ACQUIRING MORE ELEMENTIS PLC SHARES, AS WELL AS THE FURTHER PURCHASE OF SHARES IN ELEMENTIS PLC BY EUSF USING FUNDS HELD IN THE MONEY MARKET MUTUAL FUND. THE ADDITIONAL SHARES HAVE BEEN ALLOCATED TO THE AFOREMENTIONED PERSON BASED ON HIS UNIT HOLDING IN THE EUSF, WHICH HAS REMAINED UNCHANGED SINCE HIS FIRST INVESTMENT. THEREFORE THIS TRANSACTION IS NOT A DIRECT PURCHASE BY THE INDIVIDUAL BUT NEVERTHELESS HAS RESULTED IN HIS SHAREHOLDING INCREASING AS SHOWN BELOW.
