Dewhurst PLC08 June 2006 Dewhurst plc Directors' Interim Report FIRST HALF This report is prepared under International Financial Reporting Standards forthe first time. The main substantive changes for the Group are that goodwill isno longer amortised in the accounts and the pension scheme deficit is shown onthe face of the consolidated balance sheet. Comparative figures for last yearhave been adjusted to the new standards. Turnover at the Group was slightly down at £15.0 million compared to £15.1million last year. Profit before tax rose 18% to £1.80 million (£1.52 million).Earnings per share grew 13% to 11.7p (10.3p). Lift and Rail Division sales were broadly flat in the first half with overseassales showing a small increase and sales in the UK slightly lower. Keypad Division sales were down a little over 10%, reflecting the significantprice reductions that we have implemented over the last 12 months. However thevolume of sales at the Keypad Division remains steady. Two years ago we reportedthat we had lost the contract to provide keyboard products for the nextgeneration of machines for a major ATM customer. We are delighted to report thatwe have now won this business back, albeit at lower prices. Acquisitions provided £1.0 million of sales in the first half, with a full 6months contribution from Lift Material and two months from Traffic ManagementProducts (TMP). Both acquisitions are performing satisfactorily to date. AIM Following shareholder approval at the EGM on 24th January 2006, the companytransferred trading in its shares to AIM on 22nd February 2006. OUTLOOK The profit on continuing operations was slightly up in a difficult market ofdeclining prices and significant cost pressures. We have continued, in the firsthalf, to generate efficiency and sourcing improvements to offset these adverseimpacts. We will need further improvements in the second half to maintain ourposition. As stated at the year-end, we expect growth to come from our acquisitions. Webelieve there are good prospects for the products of our latest acquisition,TMP, but it will take a little time for these sales to build. DIVIDENDS The Directors have declared an interim dividend of 1.71p which amounts to £168k,compared with 1.63p last year (£161k). The interim dividend is payable on 29thAugust 2006 and warrants will be posted on 24th August 2006 to shareholdersappearing in the Register at 3:00 p.m. on 14th July 2006. Basis of preparation Dewhurst plc's consolidated financial statements were prepared in accordancewith United Kingdom Generally Accepted Accounting Practice (UK GAAP) until 30September 2005. The 30 September 2006 consolidated financial statements will be prepared inaccordance with International Financial Reporting Standards (IFRSs). Thetransition date was 1 October 2004 being the start date of the earliest periodfor which the group presents full comparative information in its 2006 AnnualReport and Accounts. In preparing this interim report in accordance with IFRS 1, the group hasapplied the mandatory exceptions from full retrospective application of IFRS. UK GAAP differs in some areas from IFRS and so in preparing these interimstatements management has amended certain accounting, valuation andconsolidation methods applied in the UK GAAP financial statements to comply withthe recognition and measurement criteria of IFRS. The comparative figures inrespect of 2005 are restated to reflect these adjustments. Presentation - IAS 1, Presentation of Financial Statements The presentation format of IFRS is different from UK GAAP. Apart from theobvious key heading changes in the primary statements, the following informationis designed to assist the reader to understand the format and numerical changes. Goodwill - IAS 38, Intangible assets Goodwill arising on acquisitions before the date of transition to IFRS has beenretained at the previous UK GAAP amounts subject to being tested for impairmentat that date. Goodwill arising on consolidation represents the excess of the cost ofacquisition over the group's interest in the fair value of the identifiableassets and liabilities of a subsidiary at the date of acquisition. Under IAS 38 goodwill is not amortised. Instead it is subject to an annualimpairment review. Any impairment is recognised immediately in the incomestatement and is not subsequently reversed. An adjustment has been made toremove the goodwill amortisation charge. Pension Costs - IAS 19, Employee Benefits Under IAS 19, the group has shown the full actuarial value of the surplus ordeficit of the pension scheme on the balance sheet. Any movements in the pensionassets and liabilities arising from actuarial gains and losses will berecognised immediately in full through the statement of recognised income andexpense (SORIE). Dividends - IAS 10, Events After the Balance Sheet Date Under IFRS dividends proposed are not recognised as liabilities. Accordingly the2005 proposed interim and final dividend amounts reported under UK GAAP havebeen removed from the IFRS income statements. Cash Flow The differences between UK GAAP and IFRS cash flows relate to thereclassification of some of the headings and the inclusion of some of the UKGAAP notes to the cash flow statement.
