EXERCISE OF OPTIONS OVER VESTED LTIP AWARDS

Diploma PLC has today been notified that the following Directors have exercised in full, the options they hold over shares which vested on 30 September 2013, in connection with share awards granted on 24 January 2011 under the Diploma PLC 2011 Performance Share Plan ("PSP") and on 27 January 2011 under the Diploma PLC 2011 Share Matching Plan ("SMP"). As a consequence, the Directors have become entitled to acquire ordinary shares in the Company as set out below.

These share awards which vested in the form of nil cost options, relate to the three year performance measurement period ended 30 September 2013. Further details relating to the performance conditions of these awards are set out in the Annual Report & Accounts of 2013 which will be issued to shareholders on 5 December 2013.

The number of shares received has been reduced as part of arrangements under which the Company will settle the PAYE liability arising as a result of the exercise of the awards, in exchange for a reduced award of shares. The table below shows the gross amount of the award, the PAYE adjustment on the gross amount of the shares awarded and the net number of shares transferred.

Following the above transactions, the Executive Directors disposed of shares on 21 November 2013:

Following these transactions, the number of ordinary shares in the Company held by Ogier Employee Benefit Trustee Limited, as Trustee of the Employee Benefit Trust, was 293,348, which represents 0.26% of the issued share capital.
