SECONDARY PLACING OF ORDINARY SHARES IN DUNELM GROUP PLC

("DUNELM" OR "THE COMPANY")

Further to the earlier announcement, Dunelm announces it has been advised that Will Adderley, Executive Deputy Chairman, and his wife, Nadine Adderley, have sold an aggregate of 7.5 million shares in the Company, selling 5.0 million and 2.5 million ordinary shares respectively, representing in aggregate approximately 3.7 per cent of the issued share capital of Dunelm. The shares were placed at a price of 480 pence per share.

The shares were sold to institutional investors in a placing managed by UBS, acting as Bookrunner, and Oriel Securities, acting as Co-Lead Manager.

The Company has been advised that this sale is aimed at achieving greater portfolio diversification on the part of Will and Nadine Adderley.

Following these disposals, Will Adderley continues to have an interest in 63.0 million shares in the Company, representing 31.2 per cent of the issued share capital. The Adderley family as a whole retains a combined interest in 111.1 million shares in the Company, representing 54.9 per cent of the issued share capital.

Will Adderley remains fully committed to Dunelm in his role as Executive Deputy Chairman as well as remaining a very substantial shareholder in the Company.

Under the terms of the placing agreement, Will and Nadine Adderley have agreed not to dispose of further shares in the Company for a period of at least six months.
