Vesting of Restricted Stock Units

Diversified Gas & Oil PLC (AIM: DGOC), the US based owner and operator of natural gas, natural gas liquids and oil wells as well as midstream assets, has announced previously the award of Restricted Stock Units ("RSUs") issued under the Company's equity incentive plan (the "Plan") to certain of the Company's directors and senior management. In accordance with the terms of the Plan, to satisfy RSU's awarded to a member of the management team that have now vested, the Company has issued and allotted an aggregate of 26,150 new ordinary shares of 1 pence each in the Company (the "New Ordinary Shares").

Application has been made for the New Ordinary Shares to be admitted to trading on AIM which is expected to occur on or around 21 August 2019. The New Ordinary Shares will rank pari passu in all respects with the Company's existing ordinary shares of 1 pence each ("Ordinary Shares").

Following the issue of the New Ordinary Shares the Company has 665,753,979 Ordinary Shares in issue. No Ordinary Shares are held in treasury. The figure of 665,753,979 may be used by the Company's shareholders as the denominator in the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
