Directorate Changes

The Company is pleased to announce the appointment of Mr Philip Braun as an Independent Non-Executive Director of the Company with effect from 22 July 2024, having received prior written confirmation of no objection from the Jersey Financial Services Commission ("JFSC"). Further to the Company's announcement on 12 June 2024 and following Mr Philip Braun's appointment to the Board of D9, Mr Aaron Le Cornu has stepped down as a Non-Executive Director of the Company on 22 July 2024.

The Company is also pleased to confirm that further to the Company's announcement on 12 June 2024, following receipt of prior written confirmation of no objection from the JFSC, Mr Andrew Zychowski's appointment as Independent Non-Executive Director of the Company is also effective from 22 July 2024.

As a result, the Board has reviewed its composition and has made the following changes:

· Mr Philip Braun is appointed Chair of the Audit Committee and Valuation Committee, a member of the Nomination Committee, Management Engagement Committee and Risk Committee, and on an interim basis the Senior Independent Director of the Board.

· Mr Andrew Zychowski is appointed Chair of the Management Engagement Committee, and a member of the Audit Committee, Valuation Committee, Nomination Committee and Risk Committee.

· On an interim basis, Mr Eric Sanderson will remain Chair of the Nomination Committee and Risk Committee.

Mr Braun, a Jersey resident, has nearly 30 years of experience in audit, primarily focusing on financial services, alternative investment funds and the regulated offshore fund industry. After qualifying as an accountant in London, Mr Braun spent nearly 10 years within PwC's Jersey and Sydney audit practices, following which he spent the last 16 years as the lead audit partner with BDO in Jersey where he notably led the provision of business advisory services, including corporate due diligence, restructuring and liquidations. Mr Braun is currently Non-Executive Director and chair of the audit and risk committee of GCP Asset Backed Income Fund Limited, and Non-Executive Director and chair of the audit committee of CVC Income & Growth Limited. He is also a member of the board of The International Stock Exchange Authority Limited, the Guernsey based regulator of The International Stock Exchange and sits on both its risk and audit committees. Mr Braun holds a BSc (Hons) in Mathematics and Computer Science from the University of Bristol and is a Fellow of the institute of Chartered Accountants of England & Wales. Mr Braun does not hold shares in the Company.

There are no other details that are required to be disclosed in respect of Rule 9.6.13 of the Financial Conduct Authority's Listing Rules.

The Board is in the advanced stages of recruiting an additional Non-Executive Director to support the managed wind-down process, and a further update will follow in due course.
