Changes to the Board

The Board of the Company announces that it has agreed with Ms Stephanie Carbonneil, Senior Independent Director and Chair of the Nomination and Remuneration Committee, that she will step down from the Board due to her increasing time commitment required of her executive role.

To allow for an orderly handover, Ms Carbonneil will step down from the Board with effect from 21 August 2025.

The Company is pleased to announce that Ms Esther Gilbert has been appointed Senior Independent Director and Ms Vanessa Neill has been appointed as Chair of the Nomination and Remuneration Committee, both effective 21 August 2025.

Ms Neill and Ms Gilbert have served on the Board since January 2022 and September 2022 respectively.

The Board would like to express its sincere thanks to Ms Carbonneil for her contribution to the Board, as Senior Independent Director, and as Chair of the Nomination and Remuneration Committee over the years.

Stephanie has been with CVC since February 2019 and with her extensive knowledge of the investment trust market has been a valuable Board member as we have advanced the Company on its trajectory of profitable growth. I wish her well in her future endeavours.
