Total Voting Rights and Share Capital

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1, TClarke plc ("the Company") provides the following updated information:

As at 22nd June 2022 the Company's issued share capital consisted of 44,096,769 ordinary shares of 10p, each with equal voting rights. The Company does not hold any shares in Treasury; therefore, the total voting rights in the Company as at that date was 44,096,769.

The above figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
