Circular posted to shareholders

Further to the announcement made by the Company on 8 October 2013 concerning the Acquisition (as defined below) the Company has today posted a circular to its shareholders convening a General Meeting of the Company to be held on 7 November 2013 at 11.00 a.m. at the offices of Canaccord Genuity Limited, 41 Lothbury, London, EC2R 7AE (the "General Meeting").

An ordinary resolution will be proposed at the General Meeting to approve the acquisition of the entire issued share capital of Direct Line Life Insurance Company Limited (the "Acquisition").

A copy of the circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.Hemscott.com/nsm.do. In addition, a copy of the circular will shortly be available on the Company's website, www.chesnara.co.uk, or can be inspected at the Company's registered office at Harbour House, Portway, Preston, Lancashire, PR2 2PR.
